1. Account Registration and Use

1.1 Account Registration

1.1.1 The platform considers all users to be persons with full capacity for civil conduct by default. You shall ensure that your registration action does not violate any applicable laws and regulations. You declare and warrant that you have reached the legal age of full civil capacity/contractual capacity prescribed by the laws of the People's Republic of China or prescribed by the jurisdiction in which you are located, and that your registration action does not violate applicable laws, regulations, regulatory requirements, public order, and good customs. If you lack the civil capacity corresponding to your conduct as described above, you and your guardian shall bear all resulting consequences in accordance with the provisions of the law and the terms of this agreement.

1.1.2 The account name you set shall not violate relevant laws and regulations, public order, good customs, or social morality, nor shall it cause confusion regarding your identity and that of this platform. Otherwise, it may result in unsuccessful account registration, or we reserve the right to deregister your account after notifying you.

1.2 Account Use

1.2.1 Upon successful registration, you will obtain a unique account for your personal use only. It shall not be gifted, transferred, lent, shared, or otherwise permitted for use by any third party.

1.2.2 Your use of GPUNexus Platform services and data, whether directly or indirectly, will be deemed unconditional acceptance of all terms herein. If you disagree with any term, please cease using our services immediately.

1.3 Account Security

1.3.1 You are responsible for safeguarding your account information, including login credentials. Your account is set and maintained by you. We will never actively ask for your password. You bear all consequences arising from your own actions; we assume no liability.

1.3.2 You understand and agree that accessing Platform services via third-party channels constitutes your authorization for us to obtain necessary login information.

1.4 Account Deletion

You may apply to delete your account via the Platform's specified procedure. Upon approval, we will cease services and delete your account information (except as otherwise required by law or agreed between parties).

2. Terms of Service and Restrictions

2.1 Subject to this agreement, you are granted a non-exclusive, non-transferable right to access and use the Service solely for your personal use or the internal business purposes of the company or entity you represent. We reserve all rights not expressly granted herein.

2.2 You shall not, when using the Platform services:

• 2.2.1 Reverse engineer, decompile, decode, or attempt to extract the Platform's core technology;
• 2.2.2 Purchase, sell, or transfer API keys without our prior written consent;
• 2.2.3 Access, use, or distribute any part of the Platform service or related intellectual property without authorization;
• 2.2.4 Engage in any activity that may place an unreasonably large load on the system or attempt to interfere with, disrupt, or decipher transmissions to/from servers;
• 2.2.5 Bypass technical protection measures or circumvent our access restrictions;
• 2.2.6 Collect or obtain any personal information of other users;
• 2.2.7 Use the Service for any activity that may harm our or any third party's interests;
• 2.2.8 Using the platform's services to conduct illegal or non-compliant activities, including but not limited to:

• (1) Violating applicable laws, administrative regulations, or regulatory provisions;
• (2) Endangering national security, leaking state secrets, subverting state power, undermining national unity, or violating international public law or regional security rules;
• (3) Harming national or regional honor and interests, or damaging public interests and social public order;
• (4) Inciting ethnic hatred, ethnic discrimination, racism, or undermining ethnic unity and regional ethnic harmony;
• (5) Violating the policy of freedom of religious belief, promoting cults, extremism, or feudal superstition;
• (6) Spreading rumors, disrupting social order, or undermining social stability;
• (7) Disseminating obscenity, pornography, gambling, violence, murder, terrorism, or content that abets crime; teaching criminal methods or means; manufacturing or trading prohibited or controlled items; committing fraud; or engaging in other illegal or criminal activities;
• (8) Insulting or defaming others, or infringing upon the legitimate rights and interests of others;
• (9) You shall not produce, upload, copy, publish, or disseminate any content that insults, defames, or disparages the name, portrait, reputation, or honor of others (including historical figures and public figures), nor infringe upon the civil rights of others, such as the right of reputation, right of portrait, or right of privacy, that are legally entitled to them;
• (10) Promoting terrorism or extremism, or inciting the implementation of terrorist or extremist activities;
• (11) Counterfeiting or falsely using the name of state organs, social organizations and their staff, or other legal persons to disseminate information, or impersonating others for the purpose of committing illegal or criminal acts;
• (12) Containing other content prohibited by applicable laws, administrative regulations, or regulatory provisions.

2.3 Service Changes and Termination

2.3.1 We reserve the right to modify, suspend, or terminate part or all of the Service upon reasonable notice due to business needs. Post-termination, you remain bound by relevant terms herein.

2.3.2 We have the right to review and supervise your use of the Platform. If you violate any provision above, we may require you to rectify or take necessary measures (including altering/deleting your content, suspending/terminating your access) to mitigate impact. If your breach causes us loss, you shall compensate us for all damages, including direct/indirect losses and costs (e.g., legal fees, travel expenses).

3. Intellectual Property

3.1 Definition

The term "Intellectual Property Rights" in this Agreement refers to all intellectual property rights provided under applicable laws, regulations, and international treaties, including but not limited to patent rights, copyrights, moral rights, personality rights, trademark rights, goodwill, trade secret rights, technology, information, materials, etc., as well as any intellectual property and ownership rights that may currently exist or may arise in the future, and all intellectual property rights in pending, registered, and renewed applications under applicable law.

3.2 GPUNexus Intellectual Property

All IP related to the Platform and services (software, technology, interface design, graphics, archives, information, website structure, etc.) belongs to GPUNexus or its licensors. Without our written consent, you shall not, for profit or non-profit purposes, copy, plagiarize, disseminate, forge such content; nor access, sell, license, rent, modify, distribute, copy, transmit, display, publish, adapt, edit, or create derivative works; nor license third parties to use/transfer such IP via assignment, lease, mortgage, disposal, or licensing. You shall not reverse engineer, decompile, or attempt to discover source code, or exploit bugs for undue gain.

3.3 User Content Intellectual Property

3.3.1 You may provide content (text, graphics, audio, etc.) to the Platform. You retain full IP rights to such content. Using our services does not transfer these rights to us. You grant us a necessary license to use such content to provide services to you.

3.3.2 With your consent, we may use your/product name, logo, or trademark on our website/promotional materials for publicity. Any party claiming infringement may submit a written notice, and we will handle it promptly per law.

3.4 Output Content

3.4.1 You may use model outputs in compliance with law, provided: (1) Your use does not transfer or infringe any GPUNexus or third-party IP; (2) If we deem your use illegal or potentially infringing, we may restrict/require cessation of use (and deletion of copies); (3) You must not represent outputs as human-generated and must fulfill applicable labeling obligations; (4) You shall not violate any model provider's license, usage restrictions, or IP terms.

3.4.2 You agree we assume no liability for any output content/results claimed by you or any third party arising from our technical services.

3.5

We may collect, or you may provide us with, information related to your computer, mobile device, system, and software. For the purpose of maintaining and operating the platform, we may, to the extent permitted by relevant laws and regulations, use, maintain, and process user usage data or any portion thereof.

4. Interaction Data Processing

4.1 Data Use

During your use of the platform's services, the interactive data generated (including but not limited to input data, output results, feedback information, etc.), you declare and warrant that you have obtained all necessary authorizations, have the right to submit and transmit such interactive data to us, and that such actions comply with the applicable laws, regulations, regulatory requirements, and international treaties related to data protection.

4.2 Data Responsibility

You are solely responsible for all data you submit, ensuring it does not infringe third-party rights or contain illegal information. We assume no liability for your data. If interaction data violates laws or this agreement, we may delete/stop services and seek compensation for all losses.

4.3

All interactive data generated by your use of the platform to access the large model, as well as the associated obligations and responsibilities, shall be borne solely by you. This platform, as an independent technical supporter or channel, assumes no responsibility for any interactive data. We will strictly comply with the applicable laws and regulations concerning data protection, and will not make any unauthorized use, disclosure, or disposal of your interactive data. We will only use your interactive data for the provision of this platform's services to you, strictly on a lawful and compliant basis.

5. Privacy Protection

5.1 We value the privacy protection of users' personal information. Based on the relevant registration information you voluntarily provide when registering and activating the platform's services, and to ensure your normal use of our related services, we may collect, organize, and use the user information you provide. However, we will consistently comply with the applicable laws and regulations concerning data protection (including but not limited to the GDPR, CCPA, China's Personal Information Protection Law, etc.). For details, please refer to our "Privacy Policy" document. This Privacy Policy forms an integral and legally binding part of this Agreement for both you and us.

5.2 To better protect user rights and interests and provide related services, we may entrust the data of individual or corporate users to third-party vendors that comply with applicable legal and regulatory requirements for data protection. We will require, through the execution of entrustment processing contracts, confidentiality agreements, and other legal documents, that third-party vendors do not disclose user data externally, and we will supervise the third-party vendors' performance of their confidentiality responsibilities and obligations under the contracts as agreed upon in the legal documents. Such arrangements for the entrustment processing of user data shall not be considered a breach of our confidentiality obligations to you.

6. Billing and Payment

6.1 Billing Policy

Using Platform services may incur fees as published. Your use constitutes agreement to pay per the published rules and to our monitoring of usage for billing.

6.2 Payment Responsibility

You shall pay the relevant fees promptly in accordance with the platform's instructions and the payment rules stipulated by applicable laws and regulations. Without our written consent or in accordance with other relevant policies of the platform, once fees are paid, they are non-refundable unless otherwise provided by laws and regulations. We reserve the right to adjust service prices based on market conditions and will notify you in advance in a reasonable manner.

6.3 Taxes

You shall be solely responsible for paying all applicable taxes and fees levied in accordance with applicable laws and regulations arising from your use of this platform's services.

7. Disclaimer

7.1 Service Availability

We strive to provide stable, reliable service but do not guarantee uninterrupted or error-free operation. We will provide reasonable notice for interruptions due to maintenance, upgrades, or technical reasons.

7.2 Use of Third-Party Services

The Platform may contain links to third-party sites/services not controlled by us. Accessing such links is at your own risk. We assume no liability for their availability, safety, or legality. You expressly release us from all liability arising from your access/use of third-party services.

7.3 Liability Exemption

GPUNexus assumes no liability for losses due to:

• Computer viruses, malware, hacker attacks.
• Inadequate safeguarding of your account.
• Logging in from shared or risky environments.
• Using another's identity to register (you bear legal liability and compensation).
• Using another's account without their consent (disputes are between you and them; we are not liable and may seek compensation for Platform losses).
• Incomplete, lost, or intercepted communications via mobile devices not attributable to us.
• Force majeure events (natural disasters, pandemics, war, riots, legal changes) preventing our performance.
• Defects undiscoverable by the scientific/technical level at the time of service deployment.
• Losses related to third-party payment services (Alipay, Creem, etc.); their rules govern, and they are responsible for fund security.
• Risks from your own fault (wrong decisions, operational errors, lost passwords, compromised systems), Platform/technical risks from partners/telecom issues, or other unforeseeable/unavoidable/uncontrollable risks.

7.4 Limitation of Liability

(1) You acknowledge and agree that, unless otherwise stated herein or by law, our products/services are provided "as is". We make no express or implied warranties regarding quality, stability, accuracy, timeliness, completeness, continuity, or security, except we commit to improving service quality.

(2) In no event shall we be liable for any direct, indirect, incidental, special, consequential, or punitive damages (including data loss, business interruption, lost profits, reputational harm, lost opportunities) arising from use or inability to use the services. We are not liable for defamation, crimes, or illegal acts by third parties.

(3) Even if advised of the possibility of such damages, our total liability shall not exceed the fees you have paid to GPUNexus for the relevant service.

7.5 You agree to defend, indemnify, and hold us and third parties using our services harmless from any claims, losses, or disputes arising from:

(1) Your breach of this agreement;

(2) Your infringement or misappropriation of any IP rights;

(3) Any claim that your actions harmed a third party. We reserve the right to assume exclusive defense and control of any matter subject to indemnification.

8. Governing Law and Dispute Resolution

8.1 Governing Law

8.1.1 The formation, effectiveness, interpretation, revision, supplement, termination, performance, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China (solely for the purpose of this Agreement, excluding the laws and regulations of the Hong Kong Special Administrative Region, the Macao Special Administrative Region, and the relevant provisions of the Taiwan region of China). If the laws of your jurisdiction mandatorily exclude the laws of the People's Republic of China, the laws of Singapore shall apply. If the laws of your jurisdiction mandatorily exclude both the laws of the People's Republic of China and the laws of Singapore, the effective laws of your jurisdiction shall apply. In the absence of relevant legal provisions, commercial practices and/or industry practices shall be referred to.

8.2 Dispute Resolution

8.2.1 Any dispute arising from or in connection with the execution of this Agreement shall first be resolved by the parties through friendly negotiation. If negotiation fails, either party shall have the right to take action in the following order:

9. Agreement Modification and Termination

9.1 Modification

We may modify this agreement per legal changes or operational/business needs. Modified versions will be published on the Platform. Once effective, they replace prior versions. You should review modifications periodically. Continued use constitutes acceptance of the modified agreement.

9.2 Termination

We may suspend or terminate your access if you breach this agreement or relevant laws. Post-termination, you remain bound by relevant obligations herein.

10. Notices and Service of Process

10.1 When registering, you must provide true, valid contact information (email, phone, address) and update it promptly to remain contactable.

10.2 Notices we send electronically (Platform announcement, SMS, email, in-site message) are deemed delivered upon successful sending. Notices sent by post are deemed delivered five natural days after mailing.

10.3 You agree that, for any dispute arising from the use of the platform's services, judicial authorities and arbitration institutions may serve any legal documents (including but not limited to statements of claim, arbitration applications, summonses, judgments, awards, etc.) to you via the contact information stipulated in Article 10.1 of this Agreement (including email address, contact phone number, and mailing address). Legal documents sent electronically by judicial authorities or arbitration institutions shall be deemed served upon successful sending; legal documents sent by mail shall be deemed served upon posting. You agree that such service methods shall apply to all stages of judicial proceedings, including litigation, arbitration, and enforcement. If you fail to promptly update your contact information, resulting in unsuccessful service of legal documents, you shall bear all legal consequences arising therefrom.

11. Miscellaneous

11.1 Our failure to exercise or enforce any right or provision herein shall not constitute a waiver, nor affect our right to later enforce that or any other provision.

11.2 If any provision or part is found invalid or unenforceable, the validity and enforceability of the remaining provisions shall not be affected.

11.3 "Affiliates" herein refers to companies having an affiliation relationship with Chengfang Technology (Beijing) Co., Ltd., including its wholly-owned subsidiaries, holding companies, participating companies, and entities controlled by its controlling shareholder.
